These Terms of Use (“Terms”) govern the use of UX/UI design services provided by Ted Nyaoke (“Designer,” “we,” or “us”). By engaging our services, you (“Client”) agree to comply with and be bound by the following terms:
1. Scope of Services
We provide UX/UI design services including but not limited to wireframes, prototypes, design systems, user research, and design consultation.
Any additional services outside the agreed scope may require a separate agreement or fee.
2. Client Responsibilities
The Client agrees to provide timely feedback, project requirements, and necessary assets (e.g., brand guidelines, logos, content) for project completion.
Delays in feedback or approvals may extend timelines.
3. Fees & Payment
Services will be billed as per the agreed proposal, package, or hourly rate.
Payments are due as outlined in the invoice. Late payments may delay project delivery.
All fees are non-refundable once work has commenced, unless otherwise stated in writing.
4. Revisions
Each project includes a set number of revisions as specified in the proposal.
Additional revisions beyond the agreed limit may incur extra charges.
5. Ownership & Intellectual Property
Upon full payment, the Client will own the final approved design deliverables.
All preliminary files, concepts, drafts, or unused design elements remain the property of the Designer.
The Designer retains the right to showcase completed work in portfolios, case studies, or marketing materials unless otherwise agreed.
6. Confidentiality
Both parties agree to keep any sensitive business, design, or project information confidential.
7. Limitations of Liability
The Designer is not responsible for any indirect, incidental, or consequential damages arising from the use of the designs.
The Client is responsible for final approvals, ensuring accuracy of content, and compliance with any applicable laws or regulations.
8. Termination
Either party may terminate the agreement with written notice.
The Client will be invoiced for work completed up to the termination date.
9. Governing Law
These Terms shall be governed by and construed under the laws of Kenya.
